Terms of Service

These Terms are a binding agreement between Rocketplace (“Company”, “we”, “us”) and you (“you”, “user”). By accessing or using Rocketplace.org (the “Service”), you agree to these Terms.

1. Eligibility & Accounts

  • Minimum age. You must be at least 13 years old (or the age of digital consent in your jurisdiction, if higher) to use the Service. If you are agreeing to these Terms on behalf of an organization, you represent that you have authority to bind that organization.
  • Account creation. You may sign in via Google OAuth. You agree to provide accurate information and keep it current. You are responsible for activities under your account and for safeguarding your credentials.
  • One person, one account. Do not share your account or impersonate others.

2. Description of the Service

The Service enables founders and professionals to discover and review investors/funds, and (optionally) connect a Google Calendar to power user-facing features (e.g., scheduling context). We may update or remove features at any time.

3. Google Services & Permissions

  • Scopes. The Service can request: (i) identity-only scopes (openid, email, profile) for sign-in; and (ii) an optional calendar read-only scope (https://www.googleapis.com/auth/calendar.events.readonly) for features you explicitly enable.
  • Your authorization. By connecting your Google account, you authorize the Service to access Google data within the scopes you consent to. You can revoke access at any time from your Google Account settings.
  • Limited Use. We comply with Google’s API Services User Data Policy, including the Limited Use requirements. Our use of Google data is further described in the Privacy Policy, which is incorporated by reference.

4. User Content (Reviews, Submissions, Feedback)

  • Ownership. You retain ownership of content you submit (“User Content”).
  • License to us. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, publish, translate, create derivative works from, distribute, publicly perform and display your User Content solely to operate, improve, and promote the Service.
  • Representations. You represent and warrant that your User Content (a) is accurate to the best of your knowledge; (b) you have the necessary rights to submit it; and (c) does not violate law, confidentiality obligations, or third-party rights.
  • Prohibited content. Do not submit: illegal content; personal data of others without consent; confidential or inside information; defamatory, harassing, hateful, or pornographic content; malware; or content that infringes intellectual property.
  • Moderation. We may, at our discretion, remove or restrict User Content or suspend accounts for violations.
  • Feedback. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use suggestions or feedback without restriction or compensation.

5. Acceptable Use

You agree not to: (a) misuse the Service; (b) attempt to probe, scan, or test vulnerabilities; (c) interfere with or disrupt the Service or other users; (d) circumvent access controls or rate limits; (e) scrape or harvest data except as permitted by our documented APIs; (f) use the Service for advertising or solicitation without our prior written consent; (g) reverse engineer the Service except to the extent permitted by law.

6. Intellectual Property

  • Our IP. The Service, including software, design, and content provided by us, is protected by intellectual property laws. Except for the limited rights expressly granted, we reserve all rights.
  • Trademarks. Company names and logos are trademarks of their respective owners. You may not use our marks without prior written permission.

7. Third-Party Services

The Service may integrate or link to third-party services (e.g., Google). Your use of those services is subject to their terms and policies. We are not responsible for third-party services and do not control their content or availability.

8. Privacy

Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and share information, including data obtained via Google APIs. The Privacy Policy is incorporated by reference into these Terms.

9. Payment & Trials (if applicable)

If we offer paid features, the following apply: (a) prices and billing terms are described at checkout; (b) subscriptions renew automatically unless canceled; (c) you authorize us or our processor to charge your payment method; (d) taxes may apply; and (e) refunds are handled per our posted refund policy. If your plan includes a trial, we may convert it to a paid subscription unless you cancel before the trial ends. If no paid features exist, this section does not apply.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access, remove content, or discontinue the Service at any time, with or without notice, including if you violate these Terms or if we face technical, legal, or business changes. Upon termination, rights granted to you under these Terms will cease, except that sections intended to survive (e.g., IP, disclaimers, limitations of liability, indemnity, dispute resolution) will continue.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content will be accurate or complete.

No advice. Information on the Service, including reviews and analytics, is for informational purposes only and does not constitute investment, legal, or other professional advice. You are solely responsible for your decisions.

12. Limitation of Liability

To the maximum extent permitted by law, neither we nor our affiliates, licensors, or suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. Our total liability for all claims relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to us for the Service in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations; in such cases, those limitations apply to the maximum extent permitted by law.

13. Indemnification

You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

14. Dispute Resolution; Governing Law

  • Governing law. These Terms are governed by the laws of Texas, without regard to conflict of laws rules.
  • Arbitration (optional). Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered under Texas rules, on an individual basis. You and we waive any right to a jury trial or to participate in a class action. Judgment on the award may be entered in any court having jurisdiction. Opt-out: You may opt out of arbitration within 30 days of accepting these Terms by following the instructions in the Privacy Policy’s contact section.
  • Injunctive relief. Nothing limits either party’s ability to seek injunctive or other equitable relief in court for misuse of IP or breach of confidentiality.

15. Changes to the Service or Terms

We may update the Service and these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., in-product notice) and update the “Last updated” date above. Your continued use after changes become effective constitutes acceptance of the revised Terms.

16. Export & Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to embargoes or sanctions and that you are not a prohibited party under applicable export control laws.

17. Severability; Entire Agreement; Assignment

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. These Terms, together with the Privacy Policy and any addenda or order forms, constitute the entire agreement between you and us regarding the Service. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
